General Terms & Conditions

1. Scope of Services
Studio VN provides web development, design, digital product, and consulting services. The specific scope of each engagement is defined in a written proposal, agreement, or confirmed scope description.
Services are provided on a best-effort basis. Unless explicitly agreed in writing, Studio VN does not guarantee specific business outcomes, including but not limited to revenue, conversions, search rankings, performance metrics, or uptime.
These terms apply to all engagements unless otherwise agreed in writing.
2. Project Agreements
Proposals
All proposals are valid for 30 days from the date of issue unless stated otherwise.
Acceptance & Start of Work
A project begins only after:
- •written acceptance of the proposal, and
- •receipt of any required deposit or upfront payment.
Studio VN is not obligated to start work before payment has been received.
Scope Changes
Any changes to the agreed scope must be confirmed in writing and may affect pricing, timelines, or deliverables.
3. Payment Terms
- •All prices are quoted in Euros (€) unless otherwise stated.
- •For Fix My Website services, payment is required in advance.
- •For larger projects, a deposit may be required before work begins.
- •Payment is accepted via bank transfer or PayPal.
- •Payment details are provided by email after scope confirmation.
- •Work begins only after payment has been received, unless otherwise agreed in writing.
- •Invoices are due within 14 days unless stated otherwise.
- •Late payments may result in project delays or suspension of services.
Ownership & Usage Restriction
- •All deliverables remain the property of Studio VN until full payment has been received.
- •Until payment is complete, deliverables may not be used, published, deployed, or transferred.
4. Intellectual Property
Client Materials
The client retains ownership of all content, data, images, and materials they provide and confirms they have the right to use them.
Deliverables
Upon full payment, ownership of custom code and designs created specifically for the project is transferred to the client, unless otherwise agreed in writing.
Third-Party Assets
Fonts, stock images, plugins, libraries, platforms, APIs, and other third-party assets remain subject to their respective licenses and terms.
Portfolio Rights
Studio VN reserves the right to showcase completed work in portfolios, presentations, and marketing materials unless otherwise agreed in writing.
5. Client Responsibilities
The client agrees to:
- •Provide required content, assets, and feedback in a timely manner
- •Ensure they hold appropriate rights to all provided materials
- •Review and approve deliverables within agreed timeframes
- •Maintain backups of their existing website or systems before work begins
Studio VN is not responsible for delays or issues caused by incomplete, late, or inaccurate client input.
6. Revisions & Approval
The number of included revision rounds is defined in the project proposal.
Additional revisions or work outside the agreed scope will be quoted separately.
Final approval or deployment of deliverables constitutes acceptance of the work as delivered.
7. Timelines
Project timelines are estimates based on the agreed scope and assume timely client feedback and approvals. Delays caused by the client may extend the timeline accordingly.
Studio VN will communicate any significant changes or delays when reasonably possible.
8. Limitation of Liability
Studio VN's total liability is limited to the amount paid for the specific project.
Studio VN is not liable for:
- •indirect, incidental, or consequential damages
- •loss of profits, revenue, or data
- •issues caused by third-party services, hosting providers, plugins, APIs, software updates, browser changes, or platform policies
Clients are responsible for maintaining appropriate backups and insurance.
9. AI Tools & Third-Party Services
Studio VN may use AI-assisted tools and third-party software to support workflows and improve efficiency.
Ownership of deliverables applies only to the final output delivered to the client.
No ownership is transferred for underlying tools, platforms, models, or systems used during production.
10. Cancellation & Termination
Either party may terminate a project with written notice.
In case of cancellation:
- •Payment is due for all work completed up to the termination date, including partially completed milestones.
- •Deposits are non-refundable unless otherwise agreed in writing.
Studio VN reserves the right to refuse or terminate services in cases of abusive, unlawful, or unethical behavior.
11. Force Majeure
Neither party shall be liable for delays or failure to perform caused by events beyond reasonable control, including illness, technical failures, natural disasters, or other force majeure events.
12. Governing Law
These terms are governed by the laws of Italy.
Any disputes shall be submitted to the competent courts of Italy.

Service-Specific Terms
Fix My Website
Fix My Website is a targeted, hands-on service addressing one clearly defined issue.
Scope is confirmed by email before work begins.
If a request falls outside this scope, the client will be informed before any work continues.
Payment is required in advance for this service.
Project Packages (Micro, Modular, Milestone)
Project packages include a defined scope as described in the proposal or package description.
Each project:
- •Requires an upfront deposit before work begins
- •Requires final payment before handover or launch
- •Includes a defined number of revision rounds
Work may be paused if payments are overdue.
Ownership of deliverables transfers only after full payment has been received.
Unless explicitly agreed in writing, project packages do not include:
- •Ongoing maintenance
- •Content creation beyond agreed scope
- •Third-party subscriptions or licenses
- •Hosting, domain, or platform fees
Monthly Retainer (if applicable)
Monthly retainers cover ongoing support and improvements within an agreed monthly scope.
Retainers:
- •Are billed monthly in advance
- •Do not roll over unused capacity unless agreed
- •Receive priority scheduling over one-off requests
Studio VN reserves the right to update these terms periodically. Continued use of services constitutes acceptance of the current version.
